I'm running Windows 2000.

Oddly, I did set the perms on /var/empty to what you said above, and then found that SYSTEM was listed twice in /etc/group (once by default on install and once doing the mkgroup -d >> /etc/group. I took one out and lo and behold, the service started.
I should be clear in saying that I set the perms and found that the service still did not run. I edited /etc/group and it ran.
