The best place to put documentation is (imho) /usr/doc/appname-version. 

Example: /usr/doc/bash-2.0.4

This is the place where most Linux-Distributions place the documentation and it
is also the default place where rpm puts the documentation associated to a
software-package.

HOWTO is not a bad idea but often gnu-packages have files named README NEWS TODO
included which would erase a file with the same name from another package if
placed in HOWTO
